Acceptance of Terms

By accessing or using the Breakground platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Breakground ("we," "our," or "us").

Description of Service

Breakground is a business-to-business (B2B) software platform that provides construction industry intent data and sales intelligence. The Service aggregates publicly available data from government records, job boards, auction sites, and other public sources to help sales teams identify and prioritize potential customers in the construction industry.

User Accounts and Responsibilities

To access the Service, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any purpose that violates applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use automated tools to scrape, crawl, or extract data from the Service beyond normal platform usage.
• Resell, redistribute, or sublicense access to the Service or its data without our written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the data provided by the Service for harassment, stalking, or any form of unwanted contact with individuals.

Public Data and Accuracy

The data provided through the Service is aggregated from publicly available sources including government records, public filings, job boards, and auction sites. While we strive for accuracy, we do not guarantee that all data is complete, current, or error-free. The Service is intended as a sales intelligence tool and should not be relied upon as the sole basis for business decisions.

Intent scores, account briefs, and other AI-generated insights are algorithmic estimates and should be treated as supplementary information, not definitive assessments.

Intellectual Property

The Service, including its design, features, algorithms, and proprietary technology, is owned by Breakground and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights in the platform or its underlying technology.

You retain ownership of any content you create within the platform, such as notes, tags, and saved lists. You grant us a limited license to store and display this content as necessary to provide the Service.

Payment and Subscriptions

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees. Subscription fees are billed in advance on a recurring basis. You may cancel your subscription at any time, with cancellation taking effect at the end of your current billing period.

Limitation of Liability

To the maximum extent permitted by law, Breakground shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time by contacting us at support@breakground.co.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by updating the "Last updated" date and, for significant changes, by providing notice via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
